MEMORANDUM OF ASSOCIATION |
| |
NAME |
| 1. |
|
The name of the Association shall be "The Textile Association
(India)" |
| |
|
|
| |
REGISTERED
OFFICE |
| 2. |
|
The
Registered Office (Headquarters) of the Association shall
be at such place as the Governing Council may decide from
time to time. |
| 3. |
|
The Governing Council may open Units of the Association
at such places in India and abroad as it may deem fit and
accord affiliation to them as per Regulation herein mentioned
for achieving and promoting the aims and objects of the
Association, provided it has a minimum membership of 150
and the same shall be confirmed by the General Body at its
first meeting held after such decision is taken by the Governing
Council. |

OBJECTS |
| 4.
|
|
The
Objects of the Association are:- |
| |
i) |
To
promote and stimulate the thought and knowledge of the science
of textile technology and its communication by continuing
education and training programme in the field of manufacturing
of fibre, yarn, fabrics and garments of any description
in combination with the knowledge of natural science which
relates to the physical, chemical or other fundamental properties
of any of the substances used or any of the manufacturing
processes employed in the textile education. |

ii) |
To
provide appropriate forum for exchange of knowledge, experience
and ideas in textile production and textile economics, management
and marketing which may include lectures, seminars, work-shop,
training classes, conferences, demonstrations, study tours,
visits and research studies and to conduct such activities
jointly with similar Institutes and Organisations for promotion
of textile education. |

To
provide opportUnities and facilities for learning textile
technology and management through lectures, discussions,
trainings etc., to the members of the Association and to
other Organisations of different sectors of the textile
industry and to diffuse useful information in the textile
and allied subjects and organising participations in such
activities of students, technologists, managers, researchers
and other connected with textile industry. |

iv) |
To
conduct professional examinations and granting competency
certificates, diplomas and degrees to technologists by examination
or by applications. |
| |
v) |
To
print and publish books, booklets, pamphlets, periodicals
and other publications and to prepare and circulate video
cassettes etc., so as to advance knowledge of textile manufacturing
and processing and other relevant matter pertaining to textile
industry. |

vi) |
To
print and publish official Journal of the Association which
will include articles and news on textile technology, fibres,
machineries, manufacturing processes, quality standards,
management, marketing, important information of textiles
and allied industries including technically important abstracts
appearing in other periodicals and news "papers, statistical
information relating to textile industry and also proceedings
on seminars and conferences etc. held under the auspicious
of the Association and its Units. |

To
collect and disseminate statistical and other information’s
relating to technology, production capacity, raw materials,
machineries, man power, exports, imports, taxation, etc.
concerning to textiles and allied industries and to circulate
such information for the knowledge of technologists and
public at large. |

viii) |
To
establish, run and maintain reading room and library having
books, papers and periodicals for study and references on
textile technology and related subjects. |
| |
ix) |
To enter into any arrangements or agreements with any other
Associations or Organisations or Authorities having similar
objects of the Association and to join with any Association,
chamber or organisation for the furtherance of its objects
or grant amalgamation of such Institutes/organisations having
similar objects of the Association.

x) |
To
subscribe for becoming a member of or otherwise coordinate
with any other Institutes, organisations whose objects are
similar to the Association. |

xi) |
To
take all possible steps to establish harmonious relations
with the industry and the Government. |
| |
xii) |
To
institute or arrange to institute and establish scholarship,
awards and prizes for encouragement of study, research and
for contribution in the science of textile technology, manufacturing,
designing etc. |
| |
xiii) |
To
take such steps to make public appeal by letters, circulars,
newspapers, public meetings or organise social or cultural
events as may be proper for the purpose of collection funds
in the form of donations, subscriptions, advertisements,
sponsorships or otherwise, for the furtherance of the objects
of the Association. |

xiv)
|
To
conduct, organise sponsor and participate, either jointly
with other Organisations or independently in national and
international textile trade and machinery exhibitions. |
| |
xv)
|
To
educate the industry and general public on the problems
and issues of the textile industry and to represent and
arrange for representation OP such issues before the respective
authorities. |
| |
xvi) |
To
accept grants, donations, gifts, money or other properties
from members or other than members for the furtherance of
all or any of the objects or for the provision of the expenses
of the Association. |

xvii)
|
To
acquire by purchase, lease, hire purchase or otherwise either
alone or jointly with any other society. Association, Institutes
or organisation any movable or immovable property rights,
privileges and conveniences and also erect building on land
for time being belonging to or in the occupation of the
Association and to repair, improve, alter, extend or rebuild
any or all buildings and constructions belonging to the
Association in its occupation and to remove or demolish
any such construction not so required. |

To
sell, lease, mortgage, surrender, exchange, dispose off
or otherwise deal with all or any part of the movable or
immovable property belonging to the Association or in its
occupation. |

xix)
|
To
borrow and raise money on the security of any movable or
immovable property belonging to or in the occupation of
the Association. |
| |
xx)
|
To
assist unemployed members of the Association to obtain work
and organise relief to those who may be under financial
strains during unemployment. |
| |
xxi)
|
To
promote and support all well concerned schemes and programmes
for general welfare of the members and to encourage them
to organise such events for fellowship and co-operation
amongst them. |
| |
xxii)
|
To
make rules & regulations and bye-laws for the conduct
of the affairs of the Association and add, amend, vary or
rescind them from time to time. |
| |
xxiii)
|
And
generally to do all that may be necessary in the interest
of the realisation of the above objects of the Association
directly or indirectly. |
| 5. |
|
The
accounts shall be kept for all sums of money received and
expended by the Association and the matter in respect of
which such receipt and expenditure took place and of the
property, credits and liabilities of the Association and
subject to any reasonable restriction as to the time and
manner of inspecting the same that may be imposed in accordance
with the regulations of the Association shall be opened
to the inspection for the members once at least in every
year. The accounts of the Association shall be examined
and the correctness of the Balance sheet ascertained by
one or more qualified Auditor or Auditors. |

|
The
income and property of the Association wheresoever derived
shall be applied solely towards the promotion of the objects
of the Association as set forth in this Memorandum of Association
and no portion thereof shall be paid or transferred directly
or indirectly by way of dividend, bonus or otherwise howsoever
by way of profit to the members of the Association provided
that nothing herein shall prevent the payment in good faith
of any remuneration, out of pocket expenses, travelling
allowances etc., any Office Bearers or members or employees
or other persons in turn of services rendered to the Association
but no member of the Governing Council or Office Bearers
shall be appointed to any salaried office of the Association
or any office of the Association paid by way of fees and
commission. |

|
If
upon winding up or dissolution of the Association, there
remains, after the satisfaction of all its debts and liabilities,
any property whatsoever, the same shall not be distributed
amongst the members of the Association but shall be given
or transferred to such other Association or organisation
having similar objects of this Association to be determined
by the General Body of the Association at or before the
time of dissolution or in default thereof by the High Court
of jurisdiction that has or may acquire jurisdiction in
the matter. |
